An offering memorandum – or OM – is a key legal document used in the private placement of commercial real estate. The OM provides buyers with information about the property and the offering, protects the Sponsor from potential liability, and serves as a tool for winnowing down the pool of bidders.
An offering memorandum is a legal document that discloses the terms, conditions, risks, and other information about a private placement. It is not the same thing as a prospectus (those are for issuance of publicly-traded securities).
As opposed to a public offering, an Offering Memorandum is used for a ‘private’ offering (a prospectus would be used for a public offering, for example). Investors in a OM can vary from accredited to non-accredited investors, venture capital, private equity and many types.
Maps in an offering memorandum can be customized to include the property location and illustrate area highlights such as access to highways, shopping and entertainment areas, and proximity to business districts and residential areas.
